Terms of Service, End User License Agreement (EULA) and Disclaimer

Applies to: all websites, stores and digital products operated by Shanway Inc. and its brands and divisions, including Shanway Ministries and Compassion Faith (together, "Shanway", "we", "us").

1. Agreement

By visiting a Shanway website, or by buying, downloading or using any Shanway product, you agree to these Terms, the EULA in Section 6 and the Disclaimer in Section 9. If you do not agree, do not use the site or products. If you are under 18 (or under the age of majority where you live), you may use the site only with a parent's or guardian's consent.

2. Who we are

Shanway Inc. operates these sites and products. Shanway Ministries and Compassion Faith are brands of Shanway Inc. Larry Shannon is an officer of Shanway Inc. He does not act in a personal capacity, and he is not a party to any sale. Contact: [email protected]. Location: Ontario, Canada.

3. Products

We sell digital goods. These include devotional and scripture-passage books (PDF/EPUB), digital images and artwork, animation and motion-graphics packs, video clips, music, gift packs and bundles. Descriptions and previews are given in good faith. Colours, layouts and file behaviour may vary by device and software. Physical goods, if any, are described separately on their listing.

4. Prices, payment and taxes

Prices are shown in the listed currency. Payments are processed by third parties such as Stripe, PayPal, Gumroad or Payhip, under those providers' own terms. We never see or store your full card details. You are responsible for any taxes, duties, currency-conversion charges or bank fees your provider applies, unless the checkout collects them.

5. Delivery, refunds and chargebacks

Digital products are delivered by download link or email immediately or shortly after payment. Because digital files cannot be returned, all sales are final, except:
(a) where the law requires a refund;
(b) where the file is defective or not as described, and we cannot fix or replace it within 7 days of you notifying us; or
(c) for a duplicate purchase.

Ask for help at [email protected] before filing a chargeback. If you file a chargeback in bad faith, your license (Section 6) ends.

6. End User License Agreement (EULA)

All products are licensed, not sold. Shanway Inc. or its licensors keep all rights, title and interest. When you pay, you receive a non-exclusive, non-transferable, revocable, personal license, as follows.

Books and passage collections. You may read and print copies for your own personal and household use. You may also print up to 25 copies of individual pages for use in a church service, small group or classroom without charge, provided the copyright notice stays on each copy. You may not resell, redistribute, upload or share the file. Scripture quotations from the World English Bible are in the public domain. This license covers our original introductions, prayers, selection, arrangement and design.

Images, artwork, animation and video packs. Personal use is permitted, for example wallpapers, personal social posts and personal projects. Commercial use (merchandise, client work, monetized channels, ads or products for sale) is permitted only if the listing expressly says "Commercial license", and then only within the limits stated on that listing. You may never:
- resell, sublicense, share or give away the source files, alone or in a bundle;
- claim them as your own work;
- use them in trademarks or logos;
- use them to train or fine-tune AI models;
- use them in a way that is defamatory, hateful, obscene, unlawful, or that mocks the faith-based purpose of the work.

AI-assisted works. Some products are created with the help of artificial-intelligence tools. Where copyright protection is limited for AI-generated material, we still license the files under these terms and contract. We do not promise that any item is unique or exclusive to you.

Gift packs. You may give a gift-pack license to one recipient. The recipient's use is then governed by this EULA.

Termination. Your license ends automatically if you break these terms. When it ends, you must delete all copies.

8. Intellectual property

All content is owned by Shanway Inc. or its licensors, except public-domain scripture text and third-party material credited as such. This includes text, graphics, logos, product names, designs, audio and video. "Shanway", "Shanway Ministries" and "Compassion Faith" are names used by Shanway Inc. "World English Bible" is a trademark of eBible.org, which does not endorse us. To report infringement, write to [email protected] with details, and we will respond promptly.

9. Disclaimer

Spiritual and general content only. Our faith-based products offer encouragement, reflection and inspiration. They are not medical, psychological, psychiatric, legal, financial or other professional advice, and they are not a substitute for professional care. Shanway Ministries is not a church or a counselling service, and it does not offer pastoral, clinical or crisis care. If you are in crisis or thinking of harming yourself, call your local emergency number. In Canada or the US, you can call or text 988.

No guarantees. We make no promise of any spiritual, emotional, health, relationship, financial or other outcome from using any product. Any examples or testimonials describe individual experiences only.

Not a charity. Purchases are not charitable donations, and no tax receipt is issued, unless a receipt is expressly stated by a registered charity.

"As is." To the fullest extent permitted by law, the sites and products are provided "as is" and "as available", without warranties of any kind, express or implied. This includes merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation.

10. Limitation of liability

To the fullest extent permitted by law, the following parties are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, data, goodwill or opportunity, arising from the sites, the products or these Terms, even if they were advised such damages were possible:
- Shanway Inc.;
- its brands and divisions, including Shanway Ministries and Compassion Faith;
- its affiliates;
- its officers, directors, employees, contractors, agents and licensors, including Larry Shannon.

The total liability of all of these parties together, for any claim, is limited to the amount you paid for the product that gave rise to the claim in the 12 months before the claim, or CAD $50 if you paid nothing. Some jurisdictions do not allow certain limits, so some of these limits may not apply to you. Nothing in these Terms limits any liability that cannot legally be limited.

11. Indemnity

You agree to defend, indemnify and hold harmless the parties listed in Section 10 from claims, losses and costs, including reasonable legal fees, arising from your breach of these Terms, your misuse of a product, or your violation of any law or third-party right.

12. Third-party services and links

Payment processors, storefronts, video platforms and other linked sites are run by third parties under their own terms and privacy policies. We are not responsible for them.

13. Privacy

We collect only what is needed to deliver your purchase and provide support, such as your name, email address and order details. Payment details are handled by the payment processor. We do not sell personal information. You may request access to, or deletion of, your data at [email protected], subject to legal record-keeping duties. We follow Canada's PIPEDA where it applies.

14. Affiliates

Affiliates who promote our products are independent. They are not employees, agents or partners of Shanway. Affiliates must clearly disclose their affiliate relationship, for example "#ad" or "affiliate link", as required by the Competition Act (Canada) and the US FTC guides. Affiliates must not:
- spam;
- make income or outcome claims;
- bid on our brand names in advertising;
- misrepresent the products.

Commissions are paid only on completed, non-refunded sales, and only through the affiliate platform's own terms.

15. Changes, governing law and disputes

We may update these Terms at any time. The "Last updated" date will change, and continued use means you accept the update. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction, except where consumer-protection law gives you the right to bring a claim where you live. If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with any listing-specific license, are the entire agreement between you and us.
